About LIVEWORK
These Terms of Use (“Terms”) govern access to livework.inc and the online services offered through it, including the client portal (collectively, the “Site”). The Site is operated by GERMANN INC, a California corporation doing business as LIVEWORK (“LIVEWORK,” “we,” “us,” or “our”), based in Orange County, California.
LIVEWORK provides recruiting and talent advisory services designed to connect the requirements of modern businesses with the capabilities and ambitions of professionals. We support informed decisions through research, structured evaluation, technology, and human judgment. Statements describing our mission or intended outcomes do not guarantee any hiring, career, or business result.
Acceptance and related agreements
When you affirmatively accept these Terms through an acceptance mechanism presented with a link to them, or enter an agreement incorporating them, you agree to be bound. If you act for an organization, you represent that you are authorized to bind it. Merely receiving an unsolicited candidate profile does not create a recruiting engagement or payment obligation.
The Client Engagement Terms and an accepted Search Order govern recruiting engagements. The Candidate Terms govern participation in our candidate services when accepted. The Data Processing Addendum governs personal information processed on a client’s behalf. Those documents control over these Terms for their respective subject matter. Our Privacy Policy describes our information practices; acknowledgment of that policy is not consent to processing that requires separate consent under applicable law.
Services and eligibility
The Site provides information about our services and, where available, enables inquiries, candidate submissions, search updates, and client collaboration. Users must be at least 18 and legally able to enter an agreement. Organizational accounts are limited to authorized business users.
For direct-hire recruiting engagements, the hiring company makes employment offers and hiring decisions. LIVEWORK does not become a candidate’s employer, employer of record, or payroll provider by making an introduction. Any staffing, contract labor, or employer-of-record arrangement requires a separate written agreement.
Accounts and access
Keep your sign-in credentials, verification codes, and associated email account secure. Do not share account access or use another person’s identity. Organizations must maintain an accurate list of authorized users and promptly remove access when it is no longer appropriate. Report suspected unauthorized access to support@livework.inc.
You are responsible for activity you authorize and for taking reasonable steps to protect your account. This responsibility does not excuse LIVEWORK’s own security obligations. Client portal information may be accessed and used only by people with a legitimate role in the relevant engagement, subject to confidentiality and privacy requirements.
Permitted use
You may use the Site for lawful recruiting, career, and business purposes consistent with these Terms. You may not misrepresent your identity or qualifications; submit information you lack authority to provide; access another account without permission; interfere with security or availability; introduce malicious code; or scrape or harvest nonpublic information.
You may not use candidate information for unrelated marketing, resale, discriminatory screening, or training a general-purpose AI model. Automated access requires our written authorization, except for ordinary public search-engine indexing consistent with the Site’s published instructions. Nothing prohibits protected reporting to a government agency or other activity that cannot lawfully be restricted.
Submitted materials
You retain your rights in information and materials you provide. You grant LIVEWORK a nonexclusive, limited license to host, reproduce, organize, format, and disclose those materials as reasonably necessary to deliver the requested services, follow your instructions, and satisfy lawful recordkeeping duties, subject to the Privacy Policy and applicable agreements.
You confirm that you have the rights and permissions needed to provide the materials. Do not submit trade secrets, confidential information belonging to a current or former employer, or unnecessary sensitive information. Candidate-specific authorization is required before an identifiable profile is presented as described in the Candidate Terms.
Technology and intellectual property
The Site’s software, design, original content, branding, and proprietary presentation templates belong to LIVEWORK or its licensors. Subject to these Terms, we grant you a limited, revocable right to use the Site for its intended purpose. No broader intellectual property rights are transferred.
Candidates retain rights in their resumes and underlying materials. Applying LIVEWORK formatting or a watermark does not transfer ownership of a person’s background, experience, or personal information. Clients may retain permitted recruiting records and use candidate materials for the agreed evaluation and lawful recordkeeping purposes.
Third-party services
The Site may link to or depend on third-party services. Their terms and privacy practices apply to their independent services. Links do not constitute an endorsement. LIVEWORK remains responsible for obligations it has expressly undertaken, including applicable obligations relating to its service providers.
Service limitations
Except for express commitments in an applicable agreement and to the extent permitted by law, the Site is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or noninfringement. We do not warrant uninterrupted availability, error-free content, or the accuracy of information supplied by third parties.
An introduction, match, recommendation, or opportunity listing is not an offer of employment or a guarantee of an interview, placement, compensation level, retention period, or business outcome. These limitations do not eliminate LIVEWORK’s express duties or responsibilities imposed by law.
Liability
To the extent permitted by law, neither party is liable under these Terms for indirect, special, incidental, or consequential damages, or lost profits, arising from use of the Site. LIVEWORK’s aggregate liability under these Terms is limited to the greater of $100 or the amounts you paid LIVEWORK for the affected Site service during the 12 months before the event giving rise to the claim. Claims arising under a recruiting engagement or DPA are governed by that agreement’s liability provisions.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, or liability that applicable law does not permit to be excluded or limited. Nothing waives statutory privacy remedies, civil rights, or other nonwaivable protections.
Suspension, changes, and termination
We may restrict access reasonably necessary to address security threats, unlawful conduct, material breach, or termination of the underlying service. When practicable, we will give notice and an opportunity to resolve the issue. Access restrictions do not alter applicable data return or retention obligations.
We may revise these Terms prospectively. We will identify the new effective date, provide reasonable notice of material changes to registered users, and obtain renewed assent where required. Changes do not apply retroactively to disputes or modify an existing Search Order without the required agreement. Rights and obligations intended by their nature to survive will survive termination.
Governing law and general provisions
California law governs these Terms, without its conflict-of-law rules, subject to mandatory protections under applicable law. Unless applicable law requires otherwise, disputes will be brought in the California state courts in Orange County or the United States District Court for the Central District of California, as jurisdiction permits. Nothing prevents an individual from contacting a regulator or using a forum that applicable law makes available.
If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. Neither party may assign these Terms without the other’s consent, except to a successor in a merger, reorganization, or sale of substantially all related assets that assumes the obligations. No assignment reduces an individual’s privacy rights. These Terms and the applicable agreements constitute the agreement for their subject matter.
